• Purpose of the Agreement

The Terms of Service (the "Agreement") is a legally binding contract between you (the "User") and KoseApp (the "Company," "We," "Us," "Our") regarding your use of the services offered by KoseApp (the "Services"). The purpose of this Agreement is to outline the rights, responsibilities, and expectations of both parties involved in the use of KoseApp, its platform, and the content provided through it. By using the Services, including browsing, accessing, or engaging with any part of the platform, you agree to comply with these terms.

• Changes to the Terms

KoseApp reserves the right to modify, amend, or update these Terms of Service from time to time. Such changes may be made to improve service functionality, ensure compliance with applicable laws, or reflect changes in the Services. These changes will be effective immediately upon posting on the platform, and the "Last Updated" date at the top of the Terms will be modified accordingly. In this Agreement, the following terms shall have the meanings specified below:

• "KoseApp," "We," "Us," "Our" refers to KoseApp, including its affiliates, subsidiaries, and assigns.
• "User," "You," "Your" refers to the individual or entity who registers, accesses, or uses the Services.
• "Services" refers to all of the services provided by KoseApp, including but not limited to real estate listings, digital tools, and features designed to facilitate real estate transactions and interactions.
• "Product's Terms" refers to any additional terms and conditions specific to certain features or products offered by KoseApp.

• Eligibility Requirements

To access and use KoseApp's Services, you must be at least 18 years old and have the legal capacity to enter into a binding contract. If you are using KoseApp on behalf of an entity, such as a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms of Service.

• Account Registration

Some features of the Services may require you to register for an account. To register, you must provide certain personal information such as your full name, email address, contact number, and a secure password. This information is necessary for account management and to provide a customized experience. You agree that all information you provide is accurate, current, and complete, and you agree to update this information as necessary to maintain its accuracy. • Security of Account Information

You are responsible for maintaining the confidentiality of your account credentials (username, password) and are liable for any actions taken through your account. If you believe your account has been compromised, you must immediately notify KoseApp. KoseApp is not liable for any unauthorized access or use of your account.

• Overview of KoseApp's Services

KoseApp provides a digital platform to facilitate real estate activities, including browsing property listings, submitting inquiries, conducting transactions, and managing real estate portfolios. The Services may include access to public listings, user-generated content, real estate agent profiles, interactive tools for users to engage in property transactions, communication tools for real estate professionals, and other related features. By using the Services, you acknowledge that KoseApp is an intermediary service provider and does not directly engage in the buying, selling, or leasing of properties.

• Service Availability

While KoseApp makes every reasonable effort to ensure that the Services are available 24/7, KoseApp cannot guarantee uninterrupted access to the platform due to maintenance, technical issues, or force majeure events beyond our control. In the event of downtime, KoseApp will endeavor to restore services promptly but does not accept liability for any loss, disruption, or damages resulting from such unavailability.

• Limitations of Services

KoseApp's Services are designed to enhance the real estate experience for users but are not intended to replace professional legal, financial, or real estate advice. The information available through the Services should not be solely relied upon for making any critical financial or property-related decisions.

• User Obligations

As a user of KoseApp, you are expected to use the platform ethically and lawfully. You agree to:

• Provide accurate and truthful information when creating your account or submitting content.
• Use the Services for legitimate purposes, including searching for properties, engaging with listings, and participating in real estate transactions.
• Respect the privacy, confidentiality, and intellectual property rights of other users, businesses, and entities on KoseApp.

• Prohibited Actions

Users are strictly prohibited from engaging in the following activities:

• Uploading, posting, or sharing content that is illegal, harmful, discriminatory, defamatory, or violates the rights of others.
• Conducting fraud or misrepresentation, including impersonating another user or providing false information to mislead others.
• Spamming or harassing other users through unsolicited messages, emails, or comments.
• Attempting to access or hack into KoseApp's servers, databases, or any unauthorized part of the platform.

• Compliance with Laws

You agree to comply with all applicable local, state, and federal laws, including those related to privacy, consumer protection, intellectual property, and anti-fraud regulations. KoseApp will cooperate with law enforcement authorities as required by applicable laws.

• Ownership of Content

You retain ownership of any content you upload, submit, or share on KoseApp, including but not limited to property listings, reviews, feedback, photos, or other media. However, by submitting such content, you grant KoseApp a worldwide, royalty-free, transferable license to use, reproduce, modify, and distribute your content for the purpose of improving the platform or promoting the Services.

• Content Guidelines

Any content uploaded to KoseApp must comply with community guidelines and the platform's acceptable use policies. Content that violates these guidelines, such as hate speech, illegal activities, or harassment, will be subject to removal and possible account suspension or termination.

• Moderation and Removal of Content

KoseApp reserves the right to monitor and review user-generated content. We may remove any content that we deem inappropriate, offensive, or in violation of these Terms of Service. Additionally, if you notice any content that violates these terms, you are encouraged to report it to KoseApp using the designated tools within the platform.

KoseApp collects personal and non-personal data to provide its services, improve user experience, and ensure the platform functions effectively. The types of data collected may include, but are not limited to:

• Ownership of the Platform

All content, designs, trademarks, logos, software, and features of KoseApp, including the underlying source code, are the property of KoseApp and are protected by copyright, trademark, and other intellectual property laws. Unauthorized use of KoseApp's intellectual property is prohibited and may result in legal action.

• License to Use the Services

KoseApp grants you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. This license is revocable at any time, without notice, if you violate these Terms or engage in prohibited conduct.

• External Links

KoseApp may include links to third-party websites or external services for convenience, such as payment processors or property management tools. We are not responsible for the content, availability, or accuracy of third-party sites and do not endorse any third-party products or services.

• Third-Party Integrations

Some Services may include integrations with third-party providers, such as mortgage lenders or real estate agents. If you choose to interact with these third-party services, you do so at your own risk and subject to their respective terms and conditions.

• Termination by User

You may terminate your use of KoseApp's Services at any time by deleting your account or ceasing use of the platform. Upon termination, your rights to access and use the Services will be revoked.

• Termination by KoseApp

KoseApp reserves the right to suspend or terminate your account and access to the Services at its discretion, with or without notice, for reasons such as violation of these Terms, non-payment of fees (if applicable), or any unlawful conduct. Upon termination, any outstanding payments, obligations, or legal responsibilities remain enforceable.

• Effects of Termination

Upon termination of your account, KoseApp may retain certain data related to your account in accordance with its Privacy Policy, but you will lose access to the Services. If you have outstanding financial obligations, those obligations will remain in effect until fully satisfied.

• Arbitration Agreement

Any dispute arising out of or related to these Terms of Service, or your use of the Services, shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall be conducted on an individual basis, and you agree that no class action or representative proceeding may be initiated.

• Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the state of Texas, without regard to its conflict of laws principles.

• Venue

Any legal action or proceeding related to these Terms of Service shall be brought in the courts located in Dallas County, Texas, and you consent to the jurisdiction of such courts.

• No Warranty

KoseApp provides the Services "as is" and "as available" without any warranty of any kind, either express or implied. KoseApp does not guarantee that the platform will be error-free or uninterrupted.

• Limitation of Liability

To the fullest extent permitted by law, KoseApp's liability for any claim arising from or related to these Terms of Service shall be limited to the amount you paid to KoseApp (if any) for the use of the Services in the six months preceding the event giving rise to the claim. KoseApp shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

• Indemnity by User

You agree to indemnify and hold KoseApp, its affiliates, officers, employees, and agents harmless from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of the rights of any third party.

• Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

• Entire Agreement

These Terms of Service, along with any supplementary terms or policies referenced herein, constitute the entire agreement between you and KoseApp concerning your use of the platform and supersede all prior agreements or understandings.
